Terms of Service

ReCounsel is a second-opinion contract review service. It is not a law firm and it does not give legal advice. These Terms explain what the service does, what it does not do, and what you agree to when you use it.

1. Acceptance of Terms

ReCounsel (the "Service") is operated by Plural AI, Inc., a Delaware corporation ("Plural AI", "Company", "we", "us", or "our"). ReCounsel is a Plural.Studio venture.

By accessing or using ReCounsel, you agree to be bound by these Terms of Service. If you do not agree to these Terms, do not use the Service. If you use the Service on behalf of a company or other organisation, you confirm that you have authority to accept these Terms on its behalf.

2. What ReCounsel Is (Description of Service)

ReCounsel is an AI-powered contract review and second-opinion service. You submit a contract, and the Service returns a report that reads the document clause by clause, explains it in plain English, flags terms that may carry risk, and compares those terms against a library of previously analysed agreements.

ReCounsel is not a law firm. It is an informational tool that helps you understand a document before you make your own decision about it. We explain and flag. You decide. We do not tell you whether to sign, we do not sign off on any document, and we do not represent you.

The Service currently covers business and commercial contracts, with jurisdiction commentary for the United Kingdom, Ireland, and the Netherlands, plus general commercial context. The Service is not designed for personal legal matters such as family, immigration, criminal, or consumer dispute matters.

3. Not Legal Advice and No Attorney-Client Relationship

ReCounsel is not a law firm and does not provide legal advice. Using ReCounsel does not create an attorney-client relationship. For decisions with legal consequences, consult a licensed attorney in your jurisdiction.

Specifically, and without limiting the statement above:

  • ReCounsel is not a law firm, is not a firm of solicitors, and does not provide legal advice, legal opinions, or legal representation.
  • No attorney-client relationship, solicitor-client relationship, or other professional or fiduciary relationship is created by your use of the Service, by your purchase of credits, or by any communication with us.
  • Reports, risk flags, benchmark comparisons, redline suggestions, and any answers to follow-up questions are provided for informational and educational purposes only. They are not a substitute for advice from a qualified lawyer who knows your situation.
  • You must consult a lawyer qualified in the relevant jurisdiction before you rely on any part of a report for a decision that has legal or financial consequences. This includes signing, amending, terminating, or enforcing any agreement.
  • Because no attorney-client relationship exists, communications with the Service are not protected by legal professional privilege or attorney-client privilege. Do not treat them as privileged.
  • Nothing in a report is a guarantee of any legal outcome, and no part of the Service should be read as a representation that a document is safe, enforceable, or compliant.

If you need legal advice, we will say so and we will tell you to speak to a lawyer. That is the correct answer to a large number of questions, and we would rather give it than overstate what this Service is.

4. User Accounts and Responsibilities

You may need an account to use parts of the Service. You are responsible for:

  • Providing accurate account and contact information, and keeping it current.
  • Maintaining the confidentiality of your account credentials.
  • All activity that happens under your account.
  • Notifying us promptly at [email protected] if you believe your account has been used without your permission.
  • Your choice of which documents to submit, and your right to submit them. You confirm that you have the authority and any necessary permission to upload each document you submit.
  • How you read, interpret, and act on the contents of any report.

You must be at least 18 years old to use the Service. The Service is intended for business and professional use.

5. Credit Packs, Pricing, and Refunds

How pricing works

ReCounsel is sold as one-off purchases and prepaid credit packs. It is not a subscription. You buy a trial, a single review, a pack of review credits, or an individual Deep review, and you use the credits when you need them.

  • No auto-renewal. Nothing you buy renews automatically. We do not store a recurring billing arrangement, and we will never charge you on a repeating schedule.
  • No recurring charges. You are charged only when you choose to make a purchase.
  • Credits are valid for 12 months from the date of purchase. Unused credits expire at the end of that period.
  • Credits are tied to your account and are for your own use. They are not transferable or redeemable for cash except where refunded under this section or required by law.
  • Prices are shown in US dollars. Where you pay in another currency, conversion is handled by our payment processor at its own rates. Your bank may add its own fees.

Payments are processed by Stripe. We do not receive or store your full card details. Prices, pack sizes, and included features are as shown on the pricing section of our site at the time you buy.

Refunds

If a report does not do its job, tell us and we will fix it or refund it:

  • Within 7 days of delivery, if you are not satisfied with a report, we will either re-review the contract at no charge or refund that purchase. Email [email protected] from the address you paid with, and tell us which report it is.
  • The $1 trial is money-back. If the teaser report is not useful to you, we will refund it.
  • Unused credits. Where you bought a pack and have not used the credits for the review in question, those credits remain available to you or can be refunded under this section.
  • Requests above $50, or outside the 7-day window, are handled case by case and get a personal reply from the team. We look at what happened and try to be fair about it.

Refunds are returned to the original payment method. Processing time depends on your bank. Nothing in this section limits any statutory refund or cancellation right you have under mandatory consumer law where you live. See Section 13 if you are in the EU or the UK.

6. AI Content Disclaimer

Reports are generated using artificial intelligence and automated processing. We use third-party AI model providers, including Anthropic and OpenAI, accessed through an AI gateway provider. Human review is limited and does not amount to verification of every statement in a report.

  • AI output can be wrong. It can misread a clause, miss a clause, misstate the effect of a term, or produce confident language about something inaccurate.
  • Benchmark comparisons are context, not truth. A statement that a clause is broader or narrower than others we have analysed describes our library, not a legal standard or market rule.
  • Verify anything important. Read the underlying contract yourself and check anything that matters with a qualified lawyer before you act on it.
  • Jurisdiction commentary is general information about the law of a country as we understand it. It is not an opinion on how the law applies to your facts, and law changes over time.

Reports are AI-generated. We label them as such, and we ask you to treat them as a starting point for your own judgment rather than a conclusion.

7. Content and Confidentiality

Your documents stay yours. You keep all rights in the contracts and other content you submit. We do not claim ownership of them.

You grant us a limited licence to process your content only in order to run the Service for you. In practice that means:

  • We use your document to produce your report, deliver it to you, and support you on it.
  • We do not use your contracts to train third-party AI models beyond what is needed to produce your report, and we do not permit our model providers to train their models on your content.
  • We do not publish your contracts, sell them, or share them with other customers.
  • Where we use aggregate or anonymised information to improve the Service, for example clause-pattern statistics that cannot identify you, your counterparty, or your document, we do so only in a form that is not identifiable.

Your report. The report is yours to use inside your business. You may share it with your colleagues, your advisers, and your lawyer. You may not republish it publicly or resell it as your own product. See Section 8 and Section 12.

How we handle personal data, how long we keep documents, and who processes them on our behalf are set out in our Privacy Policy.

8. Acceptable Use

You agree not to use the Service:

  • For any unlawful purpose, or to further an unlawful agreement or transaction.
  • To provide legal services or legal advice to another person if you are not qualified and licensed to do so. ReCounsel output must not be passed off as legal advice, and it must not be used as a substitute for the professional judgment of a licensed lawyer.
  • To resell, sublicense, or republish reports, or to offer the Service to third parties as your own contract review product.
  • To submit documents you have no right to submit, or content that infringes another person's rights.
  • To upload malware, or to attempt to gain unauthorised access to our systems or another user's account.
  • To scrape, bulk-extract, reverse engineer, or use automated means to interrogate the Service or build a competing dataset.
  • To place unreasonable load on the Service, or to circumvent usage limits, credit limits, or security controls.

We may suspend or terminate access for a breach of this section. Where we do, we will refund unused credits unless the breach involved fraud or unlawful use.

9. Limitation of Liability

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Plural AI, Inc. and its officers, directors, employees, agents, and affiliates are not liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Any loss of profits, revenue, business, contracts, data, goodwill, or anticipated savings.
  • Any decision you make, or do not make, based on a report, including signing, not signing, amending, or relying on any agreement.
  • Any error, inaccuracy, omission, or misinterpretation in AI-generated content.
  • Any legal, financial, tax, or commercial consequence of a document we reviewed.
  • Any failure by you to obtain advice from a qualified lawyer.

Our total liability for all claims arising out of or relating to the Service is limited to the total amount you paid us in the twelve (12) months immediately before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or any liability that mandatory consumer law in your country does not permit us to exclude.

10. Indemnification

You agree to indemnify, defend, and hold harmless Plural AI, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with:

  • Your use of the Service.
  • Documents or content you submit, including any claim that you had no right to submit them.
  • Your use of, or reliance on, a report, and any decision you took on the basis of one.
  • Any presentation of ReCounsel output to a third party as legal advice.
  • Your breach of these Terms or of any applicable law.
  • Your violation of the rights of any other person.

11. Service Availability

We aim to keep the Service available and to deliver reports in the turnaround times described on our site. Those turnaround times are targets, not guarantees. Queue depth, document length, document quality, and provider outages all affect delivery.

We may modify, suspend, or discontinue the Service, or any part of it, at any time. If we discontinue the Service permanently, we will give reasonable notice where we can and we will refund credits that you bought and could not use. Except as stated in this paragraph, we are not liable for any modification, suspension, or discontinuation.

12. Intellectual Property

The Service, including its software, prompts, analysis methodology, benchmark library, report formats, site design, text, and the ReCounsel name and logo, is owned by Plural AI, Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms do not transfer any of those rights to you.

You own the contracts you submit. You receive a perpetual right to use the report we deliver for your own internal business purposes, subject to Section 8. Third-party content remains the property of its owner.

13. EU and UK Users

ReCounsel is offered to users in the United Kingdom, Ireland, and the Netherlands, among other places. If you access the Service from the European Union or the United Kingdom, data protection rights under the General Data Protection Regulation (GDPR) and the UK GDPR apply to our processing of your personal data regardless of where Plural AI, Inc. is incorporated (GDPR Art. 3(2)).

Those rights include access, rectification, erasure, portability, restriction, objection, and the right to complain to your local supervisory authority. Our Privacy Policy explains what we collect, the legal basis for each purpose, how long we keep it, who processes it, and how to exercise your rights.

If you are a consumer in the EU or the UK, you keep every protection that applies mandatorily under the law of your country of residence, including statutory rights on refunds, cancellation, and service quality. Those rights are not affected by Section 14.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.

This section does not limit any statutory right that an EU or UK consumer has under mandatory local consumer protection or data protection law that cannot be waived by contract, and it does not deprive you of the right to bring proceedings in the courts of your country of residence where local law gives you that right.

15. Changes to Terms

We may update these Terms. When we do, we will post the updated version on this page and change the effective date at the top. Where a change materially reduces your rights or changes what you pay, we will give notice by email to the address on your account before it takes effect.

Changes do not apply retroactively to credits you have already bought. Continuing to use the Service after a change takes effect means you accept the updated Terms.
